Terms and Conditions of Use

  1. About these terms of use
    1. These terms of use apply when you access or use the Leader Elevation and Effectiveness Platform ("LEEP").
    2. LEEP is owned and operated by Waypoint Group Pty Ltd ("we", "our" or "us").
    3. By accessing or using LEEP you agree to be bound by these terms of use ("Terms"). We will treat your access or use of LEEP as acceptance of the Terms.
    4. You may not access or use LEEP if you do not accept these Terms.
  2. What you can do
    1. LEEP is a service and a web-based portal that allows you to access and interact with other users of LEEP who share appropriate permissions. LEEP allows you to transmit or share content (such as articles, photographs, text, graphics, designs, scripts, information, messages and other content or items) ("Content") and allows you to access Content transmitted or shared by others.
  3. What you cannot do
    1. You must not:
      1. accept the Terms or use LEEP if you are not of legal age to form a binding contract with us; or not an employee or partner of an organisation that has entered into an Agreement with us;
      2. cause any unauthorised modification to, or otherwise interfere with, the operation of the LEEP service, platform or network;
      3. data mine or conduct any automated search on content on LEEP;
      4. copy or retransmit 3rd Party copyright material, such as articles from Harvard Business School Publishing, which have been made available to you through LEEP.
      5. access LEEP though any automated means (including through use of scripts or web crawlers); or
      6. sell, resell, reproduce, duplicate, trade or exploit for any commercial purpose any portion of LEEP (including any Content found on LEEP), use of LEEP or access to LEEP, except as provided under these Terms or another agreement made with the Waypoint Group.
  4. Your Content
    1. You and/or your firm ("Your") retain all information about your firm, its markets, leaders, strategies, businesses and clients ("Your Content"). Between you and us you own this data, and we agree to keep it confidential.
    2. 4.2 You represent, warrant and agree that no Content submitted by you or otherwise posted, transmitted, or shared by you on or on your behalf will:
      1. (a) infringe the intellectual property rights of others;
        (b) breach any privacy or confidentiality obligation you owe to a third party;
        (c) prejudice or compromise our reputation;
        (d) contain any worms, viruses or other disabling devices;
        (e) be in the form of any unsolicited or unauthorised advertising, solicitation, promotional material, "junk mail", "spam," "chain letters", "pyramid schemes", or any other form of solicitation;
        (f) be (in our sole opinion) obscene, fraudulent, harmful, indecent, defamatory, harassing, menacing, threatening, deceptive or misleading (or likely to deceive or mislead), false or otherwise illegal;
        (g) violate, or cause us to violate, any applicable law, regulation, standard or code; or
        (h.) attempt to, or cause any person to, do any of the above acts.
  5. General Obligations
    1. You acknowledge and agree that:
      1. we can use, modify or publish any feedback or suggestion you provide in relation to LEEP at no cost and without restriction;
      2. you are solely responsible for your breach of these Terms and the consequences of such breach, including loss or damage suffered by us or a third party;
      3. we may review any Content on LEEP and delete or remove (without notice) any Content on LEEP that violates these Terms (in our sole opinion);
      4. we may, at our sole discretion and without prior notice to you, permanently or temporarily stop providing you or other users with access to LEEP; and
      5. we may modify LEEP and the Content on LEEP from time to time.
      6. Copyright to any content that you provide to our Resco Demonstration (demo.leep.net), Knowledge Base of Typical Hubs (board.leep.net, corporation.leep.net, business.leep.net, venture.leep.net, investment.leep.net. hp.leep.net, etc), or Support hub (support.leep.net) become the property of the Waypoint Group, and that we may reuse it as we see fit

    3. if you believe a portion of LEEP infringes a person's intellectual property rights, or that there is a breach of confidentiality or security, you must provide us with details of the suspected infringement.
    4. You are responsible for the accuracy and authenticity of the Content you transmit or share on LEEP. You are responsible for damages from any claims that may arise as a consequence of your Content, including any alterations you make to your Content.
  6. Disclaimer and Indemnity
    1. To the maximum extent permitted by law, we exclude all warranties, representations and other assurances relating to LEEP and your use of LEEP, including:
      1. the operation, quality or functionality of LEEP. Access to LEEP may be interrupted, restricted or delayed at any time and for any reason; and
      2. Content appearing on LEEP, its accuracy, completeness, quality, reliability, timelessness or fitness for any particular purpose. LEEP is provided 'as is', and you acknowledge and agree that your use of LEEP (including content) is at your sole risk.
    2. To the maximum extent permitted by law, we exclude all liability for any damages or loss however caused (including, without limitation, financial loss and indirect or consequential losses) arising in contract, tort (including negligence), statute or otherwise suffered by you as a result of your use of LEEP.
    3. Where any law implies a warranty or condition into these Terms which may not lawfully be excluded, then to the maximum extent permitted by law, our liability for breach of such warranty or condition will, at our option, be limited to the supply of the services again, or paying the cost of having them supplied again.
  7. Third Party Websites
    1. LEEP may contain links to third party websites. We are not responsible for and have no control over the content of such websites and make no representations or warranties in relation to these websites or their content. Your access and use of these websites is at your own risk.
  8. Intellectual Property
    1. You acknowledge that the intellectual property rights comprised in or relating to LEEP (including but without limitation to LEEP's drawings, templates, questions, documents, computer software, equipment, information and data) belong to us or our licensors.
    2. You must not do anything which breaches or otherwise interferes with our intellectual property rights in relation to LEEP.
    3. You will note delete the sources that we list at the bottom of each folio.
    4. Some of the content used in LEEP folios is used under "Copyleft" licences such as the General Purpose Licence (GPL) or the Creative Commons Attribution-Share Alike (CC-BY-AS) licences. Each allows us to copy and modify work, but requires that we provide a similar right to others. You agree that you have been informed of these rights and accept these terms.
    5. Except as provided under these Terms or permitted by the Copyright Act 1968 (Cth), you may not reproduce any content appearing on LEEP without our written permission.
  9. Confidentiality
    1. The Waypoint Group will retain all rights in its proprietary methodologies and toolkit including, but not limited to, descriptions of the methodology, toolsets, content, document templates and project tools ("Our Content"). You acknowledge that this is confidential information and will treat it as such.
    2. You may only make use of our confidential information to the extent necessary to complete your work on LEEP, and the terms of the Copyleft licences.
    3. You will not, without our prior consent, disclose or cause to be disclosed our confidential information to a third party.
  10. General
    1. These Terms are governed by the law in force in New South Wales. The parties irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia.
    2. If we vary these Terms, we will post a notice on our website or on the home page stating that there has been a change, and your continued use of LEEP will mean that you consent to the change.
